Agent Ledger Pro - Real Estate Management Platform

1. Acceptance of Terms

Welcome to Agent Ledger Pro ("Service"), a multi-tenant real estate management software-as-a-service (SaaS) platform operated by Agent Ledger Pro ("Company," "we," "us," or "our"). By accessing or using our Service, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any modifications.

2. Description of Service

Agent Ledger Pro is a comprehensive multi-tenant SaaS real estate management platform that provides:

  • Customer Relationship Management (CRM) tools
  • Property listing management with interactive maps
  • Deal pipeline and transaction tracking
  • Commission tracking and financial tools
  • AI-powered contract analysis and OCR extraction
  • AI Broker Assistant for real estate guidance
  • AI Dashboard Search with natural language queries
  • Calendar integration with Google Calendar sync
  • Task management with Kanban boards and recurring tasks
  • Email Generator with templates and bulk email capabilities
  • Email Inbox for centralized correspondence
  • SMS Text Center for messaging
  • AI Virtual Receptionist (ERICA) for phone handling
  • Client Portal for customer access
  • Rental property management with owner portals
  • Document management and e-signature workflows
  • Open house management with lead capture
  • Compliance checklists and approval tracking
  • Vendor directory management
  • Referral tracking between agents
  • Financial reporting and 1099 tax documentation
  • Multi-language support (English/Spanish)

3. Subscription Plans and Pricing

3.1 Subscription Tiers

The Service is offered through tiered subscription plans with varying features and usage limits:

3.2 Free Trial

New users are entitled to a seven (7) day free trial period with full access to all features. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your access will be limited until a subscription is activated.

3.3 Usage Limits

Each subscription tier includes specific usage limits for customers, properties, deals, AI queries, team members, and storage. Usage is monitored in real-time, and you will receive warnings when approaching your plan limits. Exceeding plan limits may require upgrading to a higher tier.

3.4 Billing and Payment

Subscription fees are processed through Stripe and billed monthly in advance. All fees are non-refundable except as required by law. You authorize us to charge your payment method on file for all applicable fees.

3.5 Price Changes

We reserve the right to modify pricing at any time. Price changes will be communicated at least 30 days in advance and take effect at your next billing cycle.

4. User Accounts and Registration

4.1 Account Creation

To access the Service, you must create an account by providing your name, email address, and password. You agree to provide accurate, current, and complete information during registration.

4.2 Multi-Tenant Architecture

The Service operates as a multi-tenant platform where each organization ("Tenant") maintains isolated data. Your data is logically separated from other tenants and accessible only by authorized users within your organization.

4.3 User Roles

Within each tenant, users may be assigned different roles with varying permission levels:

  • Owner: Full administrative access including billing and user management
  • Admin: User management and full feature access
  • Agent: Access to assigned data and features
  • Staff: Limited access to specific functions
  • Viewer: Read-only access to data

4.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.

4.4.1 Password Requirements

To ensure the security of your account, all passwords must be at least 8 characters in length.

We recommend using a unique password that you do not use for other services. Consider using a password manager to generate and store secure passwords.

4.4.2 Account Access Best Practices

For your security, we recommend:

  • Changing your password periodically (at least every 90 days)
  • Not sharing your login credentials with others
  • Logging out of the Service when using shared or public computers
  • Enabling browser security features and keeping your browser updated
  • Being cautious of phishing attempts and verifying URLs before entering credentials

4.5 Account Termination

We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or suspicious activity. You may cancel your subscription at any time through your account settings or by contacting support.

5. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to any part of the Service or other users' data
  • Interfere with or disrupt the Service, servers, or networks
  • Upload or transmit viruses, malware, or harmful code
  • Collect or harvest user data without authorization
  • Use the Service to send spam or unsolicited communications
  • Impersonate any person or entity
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share access credentials with unauthorized parties
  • Exceed your plan's usage limits through automation or bulk operations
  • Use AI features to generate harmful, misleading, or illegal content
  • Attempt to circumvent feature restrictions or subscription tier limitations

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all content, features, functionality, software, and design elements, is owned by Agent Ledger Pro and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without express written permission.

6.2 Your Content

You retain ownership of data, documents, and content you upload ("User Content"). By uploading User Content, you grant us a limited license to store, process, and display such content solely for providing the Service.

6.3 AI-Generated Content

Content generated by our AI features (contract analysis, email drafts, property descriptions, etc.) is provided for your use but should be reviewed and verified before relying upon it for business decisions.

7. AI Features and Usage

7.1 AI Services

The Service includes AI-powered features that use OpenAI's GPT models:

  • AI Broker Assistant: Real estate Q&A and guidance
  • AI Contract Analysis: Document OCR and data extraction
  • AI Dashboard Search: Natural language search across your data
  • AI Virtual Receptionist (ERICA): Phone answering and appointment scheduling
  • AI Property Descriptions: Marketing content generation
  • AI Email/SMS Drafts: Communication assistance

7.2 AI Usage Limits

AI features are subject to monthly usage limits based on your subscription tier:

  • Starter: No AI access
  • Pro: 100 AI queries per month
  • Team: 500 AI queries per month
  • Enterprise: Unlimited AI queries

AI usage resets at the beginning of each billing cycle. You will receive warnings at 80% usage and cannot exceed your limit without upgrading.

7.3 AI Disclaimers

AI-generated content is provided "as-is" and may contain errors. You are responsible for reviewing and verifying all AI output. AI features should not be relied upon as legal, financial, or professional advice.

8. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Services

The Service integrates with third-party services:

  • Google Calendar: Calendar synchronization
  • Twilio: Phone calls, SMS messaging, call recording
  • OpenAI: AI-powered features
  • Stripe: Payment processing and subscription billing
  • Resend: Email delivery services
  • Mapbox: Interactive property maps

Your use of these third-party services is subject to their respective terms and privacy policies.

10. Call Recording and Communications

10.1 Call Recording

Calls handled by our AI Virtual Receptionist (ERICA) may be recorded for quality assurance and training purposes. Callers are informed of recording at the start of each call.

10.2 SMS and Email

Messages sent through the Service are transmitted via third-party providers (Twilio, Resend). You are responsible for obtaining appropriate consent before sending marketing communications.

11. Data Retention and Deletion

11.1 Active Accounts

Your data is retained for the duration of your active subscription and for a reasonable period afterward to facilitate account reactivation.

11.2 Account Cancellation

Upon account cancellation, your data will be retained for 30 days to allow for account recovery. After this period, data may be permanently deleted.

11.3 Data Export

You may request an export of your data at any time through the Service or by contacting support.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for errors, omissions, or inaccuracies in content or data provided through the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AGENT LEDGER PRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Agent Ledger Pro and its affiliates from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law provisions. Disputes arising under these Terms shall be resolved through binding arbitration in Naples, Florida, in accordance with the American Arbitration Association rules.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and posted on the Service with an updated effective date. Continued use after changes constitutes acceptance.
